In terms of the Companies' Act, every private company must have at least one director while every public company must have at least two directors. Details of the first directors of a company must be included in the company's Memorandum of Association. Subsequent directors may then be appointed by the General Meeting, which may also remove directors. A directorship thus ends upon such removal, the resignation of the director concerned or the expiry and non-renewal of the director's term of office. Directors manage the business of the company - they may exercise all such powers of the company other than those which are, in terms of either the law or of the Memorandum and/or Articles of Association of the company expressly reserved for the company in General Meeting.
