Directorship Services

In terms of the Companies' Act, every private company must have at least one director while every public company must have at least two directors.  Details of the first directors of a company must be included in the company's Memorandum of Association.  Subsequent directors may then be appointed by the General Meeting, which may also remove directors.  A directorship thus ends upon such removal, the resignation of the director concerned or the expiry and non-renewal of the director's term of office.

Directors manage the business of the company - they may exercise all such powers of the company other than those which are, in terms of either the law or of the Memorandum and/or Articles of Association of the company expressly reserved for the company in General Meeting.
